Background

Grant Modification to Memorandum of Understanding Grant No. RMEDF-TCC-CalCo2 Project: Open Air Multi-Use Pavilion This Grant Modification (“Modification”) is made to and forms a part of the existing Memorandum of Understanding (“MOU”) by and between the Tri-County Council for Southern Maryland (TCCSMD) and the County Commissioners of Calvert County (“Sub-recipient”), related to grant RMEDF-TCC-CalCo2 for the Open Air Multi-Use Pavilion project. I. Purpose of Modification The purpose of this Modification is to formally amend the funding allocation to the Sub-recipient for the Open Air Multi-Use Pavilion project, as approved by the Maryland Department of Commerce (“Department”), through a series of written approvals related to project reallocation and subsequent funding increases. II. Background 1. TCCSMD received written approval from the Department, dated January 22, 2025, authorizing a project reallocation under Grant RMEDF-TCC-CalCo2 resulting in an allocation of Four Hundred Fifty-Four Thousand Two Hundred Seventy Dollars and Sixty-Seven Cents ($454,270.67) to the County Commissioners of Calvert County for the Open Air Multi-Use Pavilion project. 2. TCCSMD subsequently received additional written approval from the Department, dated December 2, 2025, authorizing an increase in the Sub-recipient’s allocation for the Open Air Multi-Use Pavilion project in the amount of Sixty-Seven Thousand Five Hundred Forty-One Dollars ($67,541.00). 3. TCCSMD further received written approval from the Department, dated March 25, 2026, authorizing an additional increase in the Sub-recipient’s allocation for the Open Air Multi-Use Pavilion project in the amount of One Hundred Nine Thousand Dollars ($109,000.00). III. Amendment to Funding Amount As a result of the above approvals, the MOU is hereby amended to reflect a revised total to the County Commissioners of Calvert County for the Open Air Multi-Use Pavilion project in the amount of Two Million Six Hundred Thirty Thousand Eight Hundred Eleven Dollars and Sixty-Seven Cents ($2,630,811.67). This total reflects the cumulative approved funding associated with Grant RMEDF-TCC-CalCo2 as outlined above. IV . Effect of Modification Except as expressly modified by this document, all other terms and conditions of the original MOU shall remain in full force and effect and are hereby ratified and confirmed. V . Effective Date This Modification shall be effective upon execution by all parties and shall be deemed incorporated into the existing MOU as of the date of the latest signature below. VI.
